Yes.
There are different internals to the 4S that the 4 doesn't have
processor
RAM
hard drive (in 64GB model's case)

Yes! There was a upgrade to the processor, camera, and antenna. Although not a redesign of the hardware there were upgrades to it. I wouldn't worry about the Galaxy S II or Nexus Prime; if I were you I'd get the iPhone 4s or wait for the iPhone 5.
